1. Introduction
Welcome to ADV ANSAR SAYYED LLP (“Company”, “we”, “our”, or “us”). These Terms & Conditions (“Terms”) govern your access to and use of our messaging, communication, automation, and related digital services, including but not limited to WhatsApp Official API solutions, RCS messaging services, communication automation platforms, dashboards, and related software tools (collectively, the “Services”).
ADV ANSAR SAYYED LLP is a Limited Liability Partnership registered under the laws of India, operating as a Messaging & Communication Platform serving businesses and organizations. By accessing our website, registering an account, using our Services, or communicating with us through any digital channel, you agree to be legally bound by these Terms.
If you do not agree with these Terms, you must discontinue use of our Services immediately.
2. Definitions
- “Client” / “User” means any individual, business, or entity accessing or using our Services.
- “Platform” refers to all software, dashboards, APIs, and systems operated by ADV ANSAR SAYYED LLP.
- “WhatsApp Official API” refers to Meta-approved WhatsApp Business API services.
- “RCS” refers to Rich Communication Services provided through telecom operators.
- “Content” means messages, text, images, media, templates, or data uploaded or transmitted by the User.
- “Applicable Laws” means all Indian laws, rules, and regulations applicable to the Services.
3. Acceptance of Terms
By using the Services of ADV ANSAR SAYYED LLP, you confirm that:
- You have read, understood, and accepted these Terms.
- You are legally competent to enter into a binding agreement.
- You agree to comply with all applicable Indian laws, Meta policies, and telecom regulations.
Acceptance may occur through account registration, payment, API usage, or continued access to the Platform.
4. Description of Services
ADV ANSAR SAYYED LLP provides cloud-based messaging and communication services including:
- WhatsApp Business API onboarding and integration
- RCS messaging enablement
- Automated notifications and alerts
- Two-way customer communication solutions
- Message template creation and approval
- Campaign management dashboards
- API access for enterprise messaging
We reserve the right to modify, enhance, suspend, or discontinue any part of the Services without prior notice.
5. Eligibility
To use our Services, you must:
- Be at least 18 years of age
- Represent a legally registered business or authorized entity
- Have lawful authority to send messages to recipients
- Comply with Meta, RCS, TRAI, and telecom regulations
We may refuse service to any User at our sole discretion.
6. Account Registration
Users may be required to create an account by providing accurate and complete business information. You agree to:
- Maintain confidentiality of login credentials
- Update information when changes occur
- Accept responsibility for all activity under your account
ADV ANSAR SAYYED LLP shall not be liable for unauthorized access due to User negligence.
7. User Responsibilities
Users agree not to:
- Send spam, unsolicited, or illegal messages
- Violate WhatsApp, Meta, or RCS policies
- Send misleading, fraudulent, or harmful content
- Infringe intellectual property rights
- Abuse telecom networks or recipients
You are solely responsible for message content and recipient consent.
8. Payment & Billing Terms
- Services may be offered on subscription or usage-based pricing.
- All fees are exclusive of applicable taxes unless stated otherwise.
- Payments must be made in advance unless agreed in writing.
- Failure to pay may result in service suspension.
Refunds, if any, are subject to written agreement and service usage.
9. Subscription Renewal & Termination
Subscriptions may auto-renew unless cancelled prior to renewal. ADV ANSAR SAYYED LLP may suspend or terminate Services if:
- Payment obligations are not met
- Policy violations occur
- Legal or regulatory compliance is breached
Termination does not relieve Users of outstanding dues.
10. Use of WhatsApp Official API & RCS
Users acknowledge that WhatsApp and RCS services are governed by third-party policies. ADV ANSAR SAYYED LLP acts as a facilitator and is not responsible for:
- Message rejection or blocking by Meta or telecom operators
- Template rejections
- Account suspension by third-party platforms
11. Message Delivery & Compliance Policy
Message delivery is subject to:
- Network availability
- Recipient device compatibility
- Telecom operator routing
- Meta and RCS policies
ADV ANSAR SAYYED LLP does not guarantee delivery, read receipts, or response rates.
12. Intellectual Property Rights
All Platform software, branding, logos, and documentation are the exclusive property of ADV ANSAR SAYYED LLP. Users receive a limited, non-transferable license to use the Services.
Unauthorized reproduction or misuse is prohibited.
13. Confidentiality
Both parties agree to maintain confidentiality of business, technical, and personal information disclosed during service usage, except as required by law.
14. Disclaimer of Warranties
Services are provided on an “as-is” and “as-available” basis. We disclaim all warranties including fitness for a particular purpose and uninterrupted service.
15. Limitation of Liability
ADV ANSAR SAYYED LLP shall not be liable for indirect, incidental, or consequential damages including loss of business, data, or reputation.
16. Indemnification
Users agree to indemnify and hold harmless ADV ANSAR SAYYED LLP from claims arising from misuse of Services or policy violations.
17. Governing Law (India)
These Terms shall be governed by the laws of India. Courts in Maharashtra shall have exclusive jurisdiction.
18. Changes to Terms
We reserve the right to modify these Terms at any time. Continued use constitutes acceptance of updated Terms.
